This Broker–Shipper Agreement (“Agreement”) is entered into on the date you enter below.

1. Purpose – Broker arranges freight transport for Shipper.
2. Broker Responsibilities – Arrange carriers, track shipments.
3. Shipper Responsibilities – Accurate info, proper packaging, payment.
4. Compensation – As per rate confirmations; Net ___ days.
5. Cargo Liability – Carrier liable under Carmack Amendment.
6. Insurance – Carriers must have liability & cargo coverage.
7. Termination – 30 days’ notice; immediate for breach.
8. Governing Law – State of __________.
9. Entire Agreement – Supersedes prior agreements.
Detention Fees
10. Detention shall apply when a Carrier is delayed at a shipper or consignee facility beyond the agreed free time.
Free Time: Up to 2 hours at pickup Up to 2 hours at delivery.
Detention Rate: $75 per hour, billed in 15-minute increments, beginning after free time expires
Conditions: Detention must be documented by the Carrier (arrival time, departure time, BOL/ELD confirmation). Broker will invoice Shipper for approved detention charges. Detention charges are separate from linehaul
and due per the payment terms of this Agreement.
11. Layover Rate: $250 per day, per truck.
12. TONU (Truck Ordered Not Used)
A Truck Ordered Not Used (TONU) charge shall apply when a Carrier has been dispatched and is unable to load or deliver due to
